Private Equity's Grip Tightens: Why BioWare's Closure Is Just the Latest Casualty

The closure of BioWare, a studio renowned for its work on franchises like Mass Effect and Dragon Age, has sent ripples through the gaming industry. While not entirely unexpected given the developer's recent struggles, the acquisition by Saudi Arabia and Jared Kushner's investment group casts a harsh spotlight on the practices of private equity firms.

The Mechanics of Leveraged Buyouts

Private equity acquisitions, particularly leveraged buyouts (LBOs), often begin with a stated goal of optimizing a company for long-term returns. However, a common and increasingly criticized strategy involves cannibalizing the acquired company to extract maximum profits, often at the expense of its workforce and long-term viability. As PC Gamer previously reported, the most common form of private equity acquisition is the LBO, which involves purchasing a company using a significant amount of borrowed money, with the acquired company's balance sheet serving as collateral for the loans.

This means the responsibility for repaying the debt falls on the acquired company, not the private equity firm. Investors can thus limit their own capital outlay and financial risk. This structure has raised concerns that private equity firms can drain a company of its assets and value, potentially leading to bankruptcy while the firm itself remains financially insulated.

A Pattern of Predation

This predatory model has been observed across various industries. The Guardian noted in 2024 that private equity firms have a habit of downsizing workforces, implementing aggressive price hikes, and selling off assets like real estate, subsidiaries, and intellectual property to enrich investors, all before the inevitable decline in product quality impacts sales. Sale-leaseback agreements, where a company sells its real estate only to lease it back, are another tactic that can extract immediate cash while burdening the company with ongoing rent payments. Furthermore, private equity firms often charge substantial management fees, monitoring fees, and transaction fees, further draining the acquired company's resources.

The impact of such practices is not confined to the business world. In retail, companies like Toys 'R' Us have faced bankruptcy following private equity buyouts. Digital media outlets have been hollowed out, and local news organizations have been demolished. The healthcare sector has also suffered, with reports of hospitals becoming dilapidated and increased mortality rates in retirement homes linked to private equity ownership. A report analyzing S&P data revealed that in 2024, private equity-backed companies accounted for over 10% of all corporate bankruptcies, and more than 50% of those with liabilities exceeding $500 million, yet the firms themselves often emerged financially unharmed.

While successful private equity turnarounds exist, such as Hilton's recovery after its 2007 LBO and Dell's significant growth post-2013 buyout, the gaming industry has seen its share of negative outcomes. Gamepires, the developer of Scum, recently announced layoffs after being acquired by Emona Capital-backed Splash Damage Group. Notably, Splash Damage itself had undergone layoffs just months prior, following its own private equity acquisition.

EA's Uncertain Trajectory

Following BioWare's closure and approximately 400 layoffs at EA, the future trajectory of the publisher remains uncertain. While EA's core businesses, such as its sports titles and live-service games like Apex Legends and Battlefield, are likely to continue receiving support, the capacity for developing games outside these highly profitable categories may be diminished. EA is reportedly continuing development on Marvel's Iron Man and a new Star Wars Jedi game, alongside a new Sims title. However, concerns linger among players regarding potential ideological pressures on developers from EA's new ownership, particularly after the closure of BioWare, a studio known for its LGBTQ-inclusive development practices.

Despite the consolidation and potential shifts in development focus, EA has confirmed ongoing collaborations between Respawn and DICE, rumored to be working on a new Star Wars Battlefront game. Nevertheless, the lingering effects of private equity practices cast a shadow over the long-term outlook for ambitious, non-mainstream game development within EA.
