This development comes despite prior scrutiny over major acquisitions in the gaming industry, such as Microsoft's purchase of Activision Blizzard.
The PIF's takeover of EA is structured as a change in ownership rather than a merger between game developers. This distinction has likely contributed to fewer regulatory obstacles. However, the acquisition will transition EA into a private entity, placing it under the direct influence of its new owner. Concerns have been raised by content creators and former developers regarding the potential impact on the company's creative output and values. Some Sims 4 creators have already departed EA's network, citing fundamental disagreements with the values of the acquiring entity. There is speculation that certain game genres, particularly those perceived as politically sensitive or related to LGBTQ+ themes, may face increased scrutiny or be de-emphasized in favor of titles like Battlefield and EA FC, which are considered reliable moneymakers.
The significant financial undertaking of the $55 billion deal also introduces considerable risk for EA. The acquisition is reportedly the largest leveraged buyout in history, and it will burden EA with approximately $20 billion in debt. This financial pressure could lead to cost-cutting measures and a strategic focus on proven, high-revenue franchises.
While no major roadblocks were anticipated, the deal's financing has involved minority backers, including Affinity Partners, an investment firm associated with Jared Kushner, former President Donald Trump's son-in-law. The current chair of the FTC is also noted for his vocal support of Trump, a figure with a known relationship with Saudi Crown Prince Mohammed bin Salman.
